Terms of Service

1. Introduction

Welcome to PassMode. These Terms of Service ("Terms") govern your use of the PassMode website and services (collectively, the "Service") operated by R&P Fusion, a company registered in the United Kingdom ("Company", "we", "us", or "our").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service.

2. Description of Service

PassMode is an AI-powered revision tool that helps students transform their study materials (documents, audio recordings, videos, images) into interactive quizzes and flashcards.

The Service uses artificial intelligence to process and analyze content. While we strive for accuracy, AI-generated content may contain errors. Users should always verify important information with official course materials.

3. User Accounts

To use certain features of the Service, you must create an account. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use
  • Providing accurate and complete registration information

4. Subscriptions and Payments

Some features of PassMode require a paid subscription. By subscribing, you agree to:

  • Pay all applicable fees as described at the time of purchase
  • Automatic renewal of subscriptions unless cancelled before the renewal date
  • Provide accurate billing information

All prices are listed in British Pounds (GBP) and include VAT where applicable.

5. Credit System

PassMode operates on a credit system with two types of credits:

5.1 Subscription Credits

  • Included with your subscription plan (Free Trial, Summer Hibernation, Standard, or First Class)
  • Paid plans (Standard/First Class/Summer Hibernation): Credits reset monthly - no rollover (use it or lose it)
  • Free Trial: 50 credits one-time welcome bonus (no monthly refresh - this is a 1-month trial, not an ongoing free plan)
  • Subscription credits are used first when processing content or generating quizzes/flashcards

5.2 Top-Up Credits

  • Purchased separately as one-time purchases
  • Top-up credits never expire and carry over indefinitely
  • Top-up credits are used only after subscription credits are depleted

5.3 General Credit Terms

  • Credits are consumed when processing files (1 credit per file, 10 credits per 15 min audio) or generating quizzes/flashcards (10-30 credits based on file count)
  • Credits have no cash value and cannot be refunded once used
  • Credit costs vary by content type and operation (file processing vs generation)
  • Fair usage policy: After monthly generation limits, additional +2 credits per generation apply

6. Acceptable Use

You agree not to use the Service to:

  • Upload content that violates or infringes on intellectual property rights, including copyrighted materials you do not have permission to use
  • Upload illegal, harmful, or offensive content
  • Attempt to gain unauthorized access to our systems
  • Use the Service for any commercial purposes without authorization
  • Share account credentials with others
  • Circumvent any usage limits or restrictions

7. Intellectual Property and Content Rights

7.1 Your Content

You retain any ownership rights you have in content you upload to PassMode. By uploading content, you represent and warrant that:

  • You own the content or have the necessary rights, licenses, consents, and permissions to upload and use it
  • Your use of the Service with this content does not violate any third-party rights (including copyright, trademark, or privacy rights)
  • You have obtained any required permissions from copyright holders if uploading third-party materials (e.g., textbook excerpts, academic papers)

By uploading content, you grant PassMode a limited, non-exclusive, royalty-free license to process, store, and analyze that content solely to provide the Service to you. This license ends when you delete the content or close your account.

7.2 Educational Fair Use

While PassMode is designed for educational purposes, you are responsible for ensuring your use complies with applicable copyright laws and fair dealing/fair use principles. The Service is intended for personal study and revision, not for:

  • Reproducing entire copyrighted works without permission
  • Sharing or redistributing third-party content
  • Commercial use of copyrighted materials

7.3 PassMode Intellectual Property

The PassMode name, logo, and all related designs are trademarks of R&P Fusion. The Service and its original content (excluding user content) are protected by copyright and other laws.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. We do not guarantee that:

  • AI-generated content will be accurate or error-free
  • The Service will be uninterrupted or secure
  • The Service will meet your specific requirements

PassMode is a study aid and should not be used as a substitute for proper academic study or official course materials.

9. Limitation of Liability

To the maximum extent permitted by law, R&P Fusion shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or academic outcomes, arising from your use of the Service.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of significant changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the new Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. User Indemnification

You agree to indemnify, defend, and hold harmless R&P Fusion, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your violation of these Terms
  • Your violation of any third-party rights, including copyright infringement
  • Content you upload to the Service
  • Your misuse of the Service

13. Account Termination

We reserve the right to suspend or terminate your account immediately, without prior notice, if:

  • You violate these Terms
  • You upload illegal or infringing content
  • Your use of the Service poses security or legal risks
  • You engage in fraudulent activity or payment disputes

Upon termination, your right to use the Service will immediately cease. Fees paid are non-refundable except as outlined in our Refund Policy.
